1- Materials And Workmanship:

Sunprise warrants that the Work and System will be free from defects in material for ten (10) years and defects in workmanship for twenty-five (25) years after complete Installation (the “Limited Warranty”). Any claim under the Limited Warranty must be made before its expiration date. The customer will receive standard warranties from major equipment manufacturers.

2- Exclusion Of Warranty Of Materials:

THE ABOVE LIMITED WARRANTY SHALL EXCLUDE ALL PRODUCTS NOT MANUFACTURED BY SUNPRISE. THE CUSTOMER WILL BE DEPRIVED OF ANY EXISTING WARRANTY FROM THE MANUFACTURER. THIS INCLUDES ALL WARRANTIES PROVIDED BY THE MANUFACTURERS OF THE COMPONENTS, ACCESSORIES AND EQUIPMENT INSTALLED BY SUNPRISE. THESE ITEMS GENERALLY INCLUDE (BUT ARE NOT LIMITED TO): SOLAR PANELS, INVERTERS AND/OR DISCONNECT SWITCHES. WRITTEN COPIES OF SUCH WARRANTIES CAN BE FOUND ONLINE AT THE MANUFACTURER'S WEBSITE. IF NO WARRANTY IS AVAILABLE FOR A COMPONENT OF THE PRODUCT AND/OR ACCESSORY, SUNPRISE WILL SUBSTITUTE A REASONABLE EQUIVALENT WARRANTY. THE LIMITED WARRANTY EXCLUDES ANY MEASUREMENT OR MONITORING EQUIPMENT OR SERVICE.

3- Other Exclusions:

SUNPRISE IS NOT RESPONSIBLE FOR THE SYSTEM OUTSIDE OF ITS INTENDED USE AND PURPOSE. CUSTOMER SHALL NOT HOLD SUNPRISE LIABLE FOR DIRECT OR CONSEQUENTIAL DAMAGES RESULTING FROM IMPROPER USE, MODIFICATION, ALTERATION, REPAIR, MISUSE, ABUSE, VANDALISM, UTILITY DAMAGE, FIRE, STORM, FLOOD OR OTHER ACTS OF GOD.

4- Repair And Replacement:

If Customer discovers a breach under the Limited Warranty, Sunprise will repair or replace the defective Work. Sunprise or its subcontractors will complete such repairs or replacements within a reasonable time after receipt of the claim. If a correction cannot be completed despite Sunprise's reasonable efforts, the Parties will negotiate an equitable adjustment to the Contract Price. The customer is responsible for any product maintenance and/or repair that is required outside of the specified warranties.

5- Roof Penetration Guarantee:

Sunprise warrants that all product-related roof penetrations during system installation will be weathertight for a period of twenty-five (25) years. The roof penetration warranty will be void if work on the roof is performed by the customer, the customer's contractor/subcontractor/agents, or third parties during the 25-year warranty period. The Roof Penetration Guarantee does not cover:(a) Leaks that occur in areas of the roof of the Property not impacted by the System. (b) Pre-existing and/or underlying failures of the roof of the Property. (c) Foreign objects causing damage to the roof of the property (for example, hail, golf balls, etc.).(d) Insufficient or improper maintenance by Customer, Customer's contractor/subcontractor or Customer's agents.

6- Warranty Of Mechanical Connections And Assembly:

Sunprise warrants the System's assembly and mechanical connections to be free from defects in material for a period of ten (10) years and in workmanship for a period of twenty-five (25) years after complete Installation.

7- Damage Guarantee:

If the damage is caused by a Sunprise representative at any time during the Work, Sunprise will repair the damage or reimburse Customer for the damage as limited by the Exceptions and Exclusions below:

8- Exceptions And Exclusions Of The Labor Warranty. The Labor Warranty Does Not Apply To The Following:

(a) WORK PERFORMED OR MATERIALS USED BY ANYONE OTHER THAN SUNPRISE OR ITS REPRESENTATIVES. (b) ANY MATERIAL WHICH WAS MODIFIED, REPAIRED OR ATTEMPTED TO BE REPAIRED BY ANYONE OTHER THAN SUNPRISE OR ITS REPRESENTATIVES WITHOUT SUNPRISE'S PRIOR WRITTEN APPROVAL. (c) ANY DAMAGES RESULTING FROM CUSTOMER'S BREACH OF THE AGREEMENT. (d) DAMAGE RESULTING FROM ORDINARY WEAR AND TEAR. (e) DAMAGE TO HOME DUE TO WEATHER, INCLUDING, BUT NOT LIMITED TO, ICE OR SNOW FALLING FROM THE SYSTEM OR NATURAL DISASTERS. (f) DAMAGES DUE TO FORCE MAJEURE EVENTS. (g) DAMAGE RESULTING FROM MOLD, FUNGI AND OTHER ORGANIC PATHOGENS. (h) SHRINKAGE/CRACKING OF GROUT AND PUTTY. (i) TAKEN FROM PAINTS AND FINISHES EXPOSED TO SUNLIGHT.CUSTOMER ACKNOWLEDGES THAT AFTER INSTALLATION IS COMPLETED, A FEE MAY BE CHARGED FOR ANY WORK PERFORMED BY SUNPRISE NOT COVERED UNDER WARRANTY. CUSTOMER FURTHER ACKNOWLEDGES THAT INSTALLATION OF THE SYSTEM MAY VOID ANY PRE-EXISTING ROOFING MANUFACTURER OR ROOFING INSTALLER WARRANTY. SUNPRISE DOES NOT ASSUME ANY LIABILITY FOR THE VOIDING OF ANY PRE-EXISTING WARRANTY FOR ROOFING. PRIOR TO INSTALLATION, THE CUSTOMER SHOULD CONSULT WITH THE ROOFER OR BUILDER IF THE SYSTEM WILL IMPACT AN EXISTING ROOF WARRANTY.

9- Breach Of Warranty Or Disputes:

If a dispute arises over a possible breach of warranty, the Parties will mutually agree to tests of the System. Customer and Sunprise will be notified of any System testing so that each Party may have a representative present.

10- Exclusive Resource:

THE LIMITED WARRANTY SHALL BE THE SOLE REMEDY FOR ALL DEFECTS IN MATERIAL AND WORKMANSHIP PROVIDED UNDER THIS AGREEMENT. UPON THE EXPIRATION OF THE LIMITED WARRANTY, CUSTOMER AGREES AND UNDERSTANDS THAT SUNPRISE'S LIABILITY FOR THE PRODUCT SHALL TERMINATE AND TERMINATE AUTOMATICALLY. CUSTOMER UNDERSTANDS THAT THIS INCLUDES ANY BREACH OF WARRANTY WHICH MAY ARISE AFTER THE EXPIRATION OF THE WARRANTY.

12- Warranty Transfers:

All warranties included in this Agreement are intended solely for the original Customer. Under no circumstances will warranties through Sunprise be transferable to subsequent owners. Customer acknowledges and understands its obligation to inform subsequent owners verbally and in writing that any and all warranties are non-transferable.
